Corporate Formation. We form a lot of new companies. We always begin by learning about your long term as well as your near term goals. With that knowledge in hand we advise regarding the best choice of business structure, and then implement your choice by setting up limited liability companies, C corporations, S corporations, or other structures. We further assist in meeting the various legal requirements associated with these business organizations, including preparation of bylaws, operating agreements, directors’ and shareholders’ minutes and shareholder agreements, and issuing stock or other certificates. We also serve many of our clients by maintaining their corporate minutes and records.
In addition, we provide advice regarding the establishment of boards of directors, appointing managing
members of LLC’s, and other organizational questions. Our goal is to deliver to you a turnkey business
organization which is fully compliant with applicable law, and which is structured to meet your unique
needs and preferences.

We are happy to assist you in securing other needed services as well, usually without charge. We can, for example, refer you to accountants, investment banking services and brokers for employee benefits, as well as assist you in setting up bank accounts and implementing benefits plans, etc.

Corporate Governance and Operations. We like to see our role for smaller clients as an “outside general counsel.” We will advise you on issues of corporate governance, strategy, organization, and expansion. We will help you identify sources for needed resources, and will lend a hand with substantially any problem that may arise, providing as much or as little assistance as you desire. Transactions and Contracts. We represent clients in innumerable transactions, from acquiring or selling a business to establishing joint ventures. We frequently prepare non-disclosure agreements, master service agreements, and other documents. We pride ourselves in crafting clear, organized documents which are designed to be read and used by business persons.

Labor and Employment. We provide comprehensive counsel and representation in all aspects of state, federal, and local labor and employment law and employee benefits, including advice regarding the several federal statutes like COBRA, the Family and Medical Leave Act, the Fair Labor Standards Act, and Title VII of the Civil Rights Act, as well as drafting of employment agreements, employee handbooks, severance agreements, etc.

Real Property. We represent our clients in commercial transactions involving real property, including preparation and review of commercial leases, subleases, deeds, and sale agreements.

Tax. We offer comprehensive advice in all aspects of taxation, including advising foreign companies who wish to set up subsidiaries or otherwise do business in the United States.

Finance. We offer representation to banks, insurance companies, lead arrangers, and other financial institutions as well as borrowers globally on a variety of issues. Our attorneys have advised financial institutions and borrowers on a range of transactions including: syndicated and club lending facilities, asset-based facilities, accounts receivable financing and factoring, acquisition financing (including mezzanine financing), structuring of bank funding products (such as structured deposits and complex cross border financings), debt restructuring, and many others.

Lending Practice

Our lending practice provides structuring advice, negotiation, documentation and closing assistance with respect to a variety of general lending facilities including revolving credits, term loans, over-drafts and guarantees for mid-size and large corporate borrowers and financial institutions.

Commercial Finance

Our attorneys help companies raise working capital by structuring, negotiating, and preparing documentation for receivables and inventory financing, factoring, and other types of commercial financing facilities.

Structured Finance

Our attorneys assist corporate borrowers and financial institutions negotiate and structure acquisition financing (including hybrid and mezzanine facilities); trade, commodities and export financing; asset based financing as well as securitized financings.

Intellectual Property. We counsel and represent clients in intellectual property issues, including registration of trademarks and copyrights, preparation of non-disclosure agreements, etc. For patent work, we work in association with a boutique firm much like ourselves, the members of which are highly-trained, registered patent lawyers who represent both domestic and multinational corporations in patent work in numerous industries in the U.S. and abroad.

Other Areas. We do offer litigation services when clients need them. In addition, we maintain relationships with numerous other boutique firms who can provide specialized services, e.g., patent, export and import advice, as needed. Typically we work closely with these firms without charge to our clients to assure that our clients receive high quality service at fair cost.

Illustrations of Our Work. Samples of our work include: setting up a turnkey subsidiary for an Italian manufacturer; providing structuring advice for capital markets products and lending facilities for large corporate and institutional clients of a major regional European bank, including structuring of advantaged financing facilities and liquidity products, (such as hybrid financing structures, structured deposits and similar products); representing an Eastern European industrial conglomerate in arranging and preparing documentation for a EUR 120 million syndicated loan facility; representing a buyer in a $20 million aircraft finance leasing transaction; representing an Indian biotech company in a $2.5 million mezzanine financing transaction; representing an American company in the acquisition of a wholly owned subsidiary in Thailand; assisting an educational organization in reductions in force and employee terminations; drafting a cooperative agreement for technology related to nuclear waste disposal between a U.S. manufacturer and an Australian company; assisting clients in corporate reorganizations and restructuring; and providing ongoing labor and employment advice to an online human resources company and an educational organization.

Fees. Our fees are generally significantly lower than our competitors in Washington, DC or any major U.S. city. Our billing rates for partners range from $325 to $425 hourly, while rates for associates are $175 to $225. We use law clerks and paralegals as well to keep client costs down.

We do not charge clients for routine photocopies, faxes, and the like, nor do we mark up any out of pocket costs. We generally do not bill for very short phone calls or emails.
